Doing Business in Delhi

Delhi is a centre for trading houses, professional services, consumer businesses and the Indian head offices of many foreign companies, and much of its business community operates across the wider National Capital Region with Gurugram and Noida.

Companies here are registered with the Registrar of Companies, NCT of Delhi-I or Delhi-II, depending on the district; company-law and insolvency matters go to the New Delhi Benches of the National Company Law Tribunal, second appeals in income-tax matters to the Delhi Benches of the ITAT, and GST registrations are allotted to the Department of Trade and Taxes, Government of NCT of Delhi or the Central Tax commissionerates for the city.

What Delhi Businesses Usually Ask Us

Which Delhi ROC will our company deal with?

That depends on the district of the registered office. Since 16 February 2026 the New Delhi, South, South West, South East and East districts come under Delhi-I, and the Central, West, North, North West, North East and Shahdara districts under Delhi-II. A later move from one group of districts to the other therefore counts as a change of ROC within Delhi, which Rule 28 of the Companies (Incorporation) Rules, 2014 sends to the Regional Director for confirmation.

Does a small Delhi office still need a shops and establishments registration?

Not since the 2026 amendment, which limits the Delhi Shops and Establishments Act, 1954 to establishments employing 20 or more people. A five-person consultancy has nothing to register under that Act, though it still needs GST once it crosses the threshold, and any licence its particular trade requires.

Frequently Asked Questions

Do you work with businesses in Delhi?

Yes. We serve clients in Delhi through video consultations, secure document sharing and digitally signed filings and reports, from our office at Spencer Plaza, Anna Salai, Chennai. We do not have an office in Delhi.

Can you value shares for a Delhi company?

Yes. CA V. Viswanathan is an IBBI Registered Valuer (IBBI/RV/03/2019/12333); the registration is valid across India, and he also signs FEMA fair-value certificates as a chartered accountant.

Which ROC and NCLT bench cover Delhi companies?

It depends on the district. Registered offices in New Delhi, South, South West, South East and East Delhi come under the Registrar of Companies, NCT of Delhi-I; those in Central, West, North, North West, North East and Shahdara under Delhi-II, following the 2026 reorganisation. Nobody needs to visit either office. Company-law and insolvency matters go to the New Delhi Benches of the National Company Law Tribunal.

How should a Delhi family pass shares in its company to the next generation?

A gift of shares to a relative is generally not taxed in the hands of either party, but a sale between them below fair market value can still raise tax on the seller's side. Family transfers are therefore documented with a valuation even when no tax is expected.
