Startup Valuation in Kochi
Kochi startups often raise their first priced round after grants and incubation, and that round needs a registered valuer's report for the allotment (section 62(1)(c) and Rule 13), a FEMA Rule 21 certificate for any angel investing from abroad on a repatriation basis, and ESOP values soon after. CA V. Viswanathan prepares these reports for Kochi founders from Chennai.
Kerala's 6,173 recognised startups (as at 31 October 2024, Lok Sabha reply of 17 December 2024) are meant to grow to 20,000 under the state's IT Policy 2026, and its Technology Startup Policy funds innovation grants — so many Kochi companies reach their first round with public money already spent on the product.

Which valuation does a startup need?
A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. How is a mixed Indian and NRI angel round priced in Kochi?
Illustration (assumed figures)
A pre-money value of ₹8 crore on 1,00,000 shares gives ₹800 per share. Indian angels invest ₹1.2 crore for 15,000 shares, and a Dubai-based NRI invests ₹80 lakh for 10,000 shares on a repatriation basis. After the round the company has 1,25,000 shares and a post-money value of ₹10 crore.
One registered valuer's report covers the whole allotment; the NRI's 10,000 shares also need a Rule 21 certificate showing that ₹800 is not below fair value, and an FC-GPR within 30 days of allotment.
The Kochi startup context
Startups selling to Gulf customers
Kochi software startups often find early customers among Gulf businesses. Revenue billed in foreign currency brings exchange-rate risk and longer collection cycles, which the projections reflect, and the export-of-services rules decide the GST treatment.
Ayurveda and wellness brands
Kerala's ayurveda and wellness brands are valued as consumer businesses — on revenue, margins and repeat purchases — with attention to the product licences they hold and to how dependent sales are on a few channels.
Kerala Startup Mission
Kerala's startup support runs through the Kerala Startup Mission, whose grants and programmes many Kochi founders use before their first priced round; grant conditions are checked before they are reflected in the valuation.

Frequently Asked Questions
Is angel tax still applicable in 2026?
No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.
Does a foreign investor need a separate valuation?
Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.
Which startup policy applies to a Kochi startup?
Kerala's Technology Startup Policy offers innovation grants, and the state's IT Policy 2026 aims to raise the number of startups to 20,000.
How many DPIIT-recognised startups are there in Kerala?
Kerala had 6,173 DPIIT-recognised startups as at 31 October 2024 (Lok Sabha answer of 17 December 2024).
Can a Kochi startup promise its NRI angel a return in dollars?
No assured return is allowed on a foreign investment. Sale proceeds and dividends on a repatriable holding can be remitted abroad through the authorised dealer bank, but any exit price must meet the FEMA pricing rules at the time of exit.
