IBBI Registered Valuer in Chandigarh

Tricity groups often have companies on both sides of a state line — one registered in Chandigarh or Mohali, another in Panchkula — and a restructuring among them needs share-exchange ratios signed by a registered valuer. The same report requirement applies to preferential allotments under section 62(1)(c) and Rule 13. CA V. Viswanathan (IBBI/RV/03/2019/12333) prepares these valuations for Chandigarh companies from Chennai.

Family businesses across Punjab, Haryana and the Union territory often grew by adding companies rather than divisions, so a generation later the group is a cluster of related companies with cross-holdings and intercompany loans. Simplifying such a group starts with valuing each company on the same basis.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

How is the ratio set when a Mohali company merges into a Panchkula company?

Illustration (assumed figures)

The Mohali company is valued at ₹250 per share and the Panchkula company at ₹750. The ratio is 250 ÷ 750 = one-third, so shareholders of the Mohali company receive 1 share of the Panchkula company for every 3 they hold.

Intercompany loans between the two cancel on merger, so each company is valued with those balances in place, and the ratio is tested against the combined company's value after they are eliminated.

Valuations for Chandigarh companies

Vehicle dealerships and distributors

Dealerships and distribution businesses across Punjab and the Tricity are valued on their franchise agreements and working capital, and a dealership's value depends heavily on whether the manufacturer will consent to a change in ownership.

Intercompany loans in family groups

Loans between Tricity group companies are often old, interest-free and undocumented. The valuation tests whether each loan is recoverable before counting it as an asset, since a balance the borrower cannot repay is worth less than its book value.

One bench, two ROCs

A Tricity group may have companies registered with the Registrar of Companies, Chandigarh (Punjab and the Union territory) and with the Registrar of Companies, Haryana; schemes for all of them are heard by the Chandigarh Bench of the NCLT, so one valuation can support a group-wide restructuring.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Chandigarh?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Chandigarh?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Chandigarh companies?

The Chandigarh Bench of the National Company Law Tribunal.

Where does a Chandigarh company file its share-issue forms?

With the Registrar of Companies, Chandigarh (Punjab and Chandigarh), online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Does a Tricity dealership need a valuation when family members exchange shares?

If shares are sold, the income-tax value of unquoted shares under Rule 57 matters to both sides, and the manufacturer's consent may be needed if control changes. A gift between relatives avoids the income-tax valuation but not the manufacturer's consent.
