IBBI Registered Valuer in Mumbai

Mumbai, Maharashtra+91 9176044244

Many Mumbai valuation briefs come from groups rather than single companies: a merger of two family companies, a holding company whose value sits in listed shares, or a project company owned by a developer. A registered valuer signs the share-exchange ratio for schemes under sections 230–232 of the Companies Act, 2013 and the price for preferential allotments under section 62(1)(c). CA V. Viswanathan (IBBI/RV/03/2019/12333) prepares these reports for Mumbai companies from Chennai, by video consultation.

Companies in the Mumbai City and Mumbai Suburban districts file with the Registrar of Companies, Mumbai-I (Thane, Raigad and Palghar come under Mumbai-II), and their schemes go to the Mumbai Bench of the NCLT. A valuation here often has more than one reader: the tribunal, and the Regional Director and income-tax authorities who receive notice of a scheme under section 230(5), as well as the shareholders who vote on it.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

How is a swap ratio worked out for a Mumbai group merger?

Both companies are valued on a consistent basis, at the same date and with the same set of approaches, and the ratio is their relative value per share. Where one company is asset-rich and the other earns from operations, the weight given to each approach has to be explained, because shareholders and the tribunal compare the two side by side.

Illustration (assumed figures)

Transferee company ₹300 per share; transferor company ₹120 per share. The relative value is 120 ÷ 300 = 0.4, so the scheme offers 2 shares of the transferee for every 5 shares of the transferor. Fractional entitlements are commonly pooled and sold by a trustee, and the scheme says how.

How are Mumbai real-estate and project companies valued?

Developers and infrastructure groups in Mumbai hold projects in separate companies, and the shares of such a company are worth what its project is worth net of what it owes. A valuer registered for land and building values the land and the work in progress; the securities valuation adds the other assets and deducts borrowings, customer advances and the cost still to be incurred to finish the project.

Where the project earns rent rather than sale proceeds, the income approach takes over, and the report reconciles the result with the property valuation so that the two do not double count.

Valuations for Mumbai companies

Financial services and holding companies

Mumbai valuations often involve NBFCs, broking and asset-management companies and investment holding companies, where net asset value and the market value of underlying holdings matter as much as earnings. Regulated entities may also need the valuation to satisfy RBI or SEBI requirements in addition to the Companies Act.

Holding companies of listed-company promoters

Promoters of listed Mumbai companies often hold their stake through unlisted holding companies. Valuing such a holding company starts from the market price of the listed shares, then considers its other assets, its liabilities and the cost of unwinding the structure.

Listed-company transactions

Preferential issues by listed companies follow the SEBI pricing formula rather than a registered valuer's report (the proviso to Rule 13 of the Share Capital Rules), while open offers and delisting have their own pricing rules. We confirm which regime applies before the work starts.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Mumbai?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Mumbai?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Mumbai companies?

The Mumbai Bench of the National Company Law Tribunal.

Where does a Mumbai company file its share-issue forms?

With the Registrar of Companies, Mumbai-I (Mumbai and Mumbai Suburban districts), online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Does a Mumbai scheme of merger need one valuer or two?

One registered valuer can value both companies on a consistent basis, and that is common for unlisted companies. Some groups appoint a valuer for each company and add a merchant banker's fairness opinion; for an unlisted company that is a governance choice, not a requirement.

Can a Mumbai company use a valuation prepared for its lender instead?

Not for a preferential allotment. Rule 13 calls for a registered valuer's report, and the valuation standards require it to state its own purpose and valuation date. A lender's or investor's internal valuation can inform the report but cannot replace it.
