Startup Valuation in Mumbai
A Mumbai startup needs a valuation report for one of three reasons: a priced round, where the registered valuer's report under section 62(1)(c) and Rule 13 supports the issue price; a foreign investor, who needs a FEMA Rule 21 fair-value certificate; or an ESOP pool, which needs an option value for the accounts. CA V. Viswanathan, chartered accountant and IBBI Registered Valuer (IBBI/RV/03/2019/12333), prepares all three for Mumbai founders from Chennai by video call.
Thirteen of the 61 Indian unicorns in the Hurun Global Unicorn Index 2026 are based in Mumbai, and Maharashtra led the states in recognised startups in the Lok Sabha figures of December 2024. Rounds here are often structured with CCPS and negotiated option pools, so the headline pre-money figure is only the start of the analysis.

Which valuation does a startup need?
A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. How does an option pool change a Mumbai seed round?
Illustration (assumed figures)
A fund agrees to invest ₹5 crore at a ₹20 crore pre-money valuation, so the post-money value is ₹25 crore and the fund holds 20%. The term sheet also asks for an ESOP pool equal to 10% of the post-money capital, created before the round. Because the pool comes out of the pre-money shares, the founders end with 70% rather than 80%, and the effective pre-money value of their shares is ₹17.5 crore.
The registered valuer values the company, not the negotiation, but the report has to use the share count the term sheet produces, pool included, or the price per share in the explanatory statement will not match the allotment.
When does a Mumbai round need two certificates?
When an Indian family office and a foreign fund invest in the same round. The allotment as a whole rests on the registered valuer's report under Rule 13, while the shares issued to the foreign fund must also be priced at not less than fair value under FEMA Rule 21. Both are prepared on the same valuation date so that the board, the authorised dealer bank and the auditors see one consistent number.
The Mumbai startup context
Fintech, D2C and media startups
Mumbai startups span fintech, consumer brands and media. Consumer brands are often valued on revenue multiples and contribution margins, fintech on regulatory status and loan-book quality, so the method mix differs from a pure software company.
Family-office and angel rounds
Many early Mumbai rounds come from family offices and angel networks. Their investments are preferential allotments like any other round and need the registered valuer's report under section 62(1)(c).
Convertible instruments
Many Mumbai seed rounds use CCPS or convertible notes. Their conversion terms decide future dilution, so a priced round counts them on an as-converted basis, and for foreign investors the conversion price or formula is fixed when they are issued.

Frequently Asked Questions
Is angel tax still applicable in 2026?
No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.
Does a foreign investor need a separate valuation?
Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.
Which startup policy applies to a Mumbai startup?
Maharashtra's Startup, Entrepreneurship and Innovation Policy 2025 aims to support 50,000 start-ups over five years.
How many DPIIT-recognised startups are there in Maharashtra?
Maharashtra had 27,014 DPIIT-recognised startups as at 31 October 2024 (Lok Sabha answer of 17 December 2024), and Mumbai is home to 13 of India's 61 unicorns in the Hurun Global Unicorn Index 2026.
Do CCPS issued by a Mumbai startup need a fresh valuation when they convert?
Not for FEMA pricing, provided the conversion ratio or formula was fixed upfront and the CCPS were issued at not less than fair value at that time (Rule 21). Conversion then follows the terms approved when the CCPS were issued.
Can a Mumbai startup rely on the price from its last round instead of a new report?
The last arm's-length round is strong evidence and the report will use it, but each new allotment needs its own registered valuer's report dated close to the issue. If months have passed or the business has changed, the earlier price is a cross-check, not the answer.
