Company Registration in Gurugram
Gurugram companies are now registered with the Registrar of Companies, Haryana, an office that sits in Chandigarh, but nobody has to go there: the SPICe+ application is filed online and normally cleared in three to five working days once documents and digital signatures are complete. MCA charges no filing fee up to ₹15 lakh of authorised capital, and Haryana's stamp duty — a flat amount for most companies — is paid with the form. We incorporate foreign subsidiaries, startups and LLPs for Gurugram from Chennai.
A company with its registered office in Gurugram comes under the Registrar of Companies, Haryana, whose office is at Chandigarh and whose jurisdiction covers the whole of Haryana (MCA notification S.O. 4850(E) of 23 October 2025, in force from 16 February 2026). The incorporation itself is processed centrally by the MCA's Central Registration Centre.
What does incorporation cost in government fees and Haryana stamp duty?
| Item | Amount | Law |
|---|---|---|
| Name reservation (SPICe+ Part A) | ₹1,000 | Companies (Registration Offices and Fees) Rules, 2014 |
| SPICe+ incorporation fee | Nil up to ₹15 lakh of authorised capital | Companies (Registration Offices and Fees) Rules, 2014 |
| Stamp duty on the memorandum (filed with articles) | ₹500 | Indian Stamp Act, 1899, Schedule I-A, Article 39, as amended for Haryana in 2018 |
| Stamp duty on the articles | ₹1,000 where authorised capital is up to ₹1 lakh; ₹2,000 above that | Indian Stamp Act, 1899, Schedule I-A, Article 10, as amended for Haryana in 2018 |
What will Haryana stamp duty come to?
| Authorised capital | Memorandum | Articles | Total |
|---|---|---|---|
| ₹1 lakh | ₹500 | ₹1,000 | ₹1,500 |
| ₹10 lakh | ₹500 | ₹2,000 | ₹2,500 |
| ₹1 crore | ₹500 | ₹2,000 | ₹2,500 |
Rates under the Indian Stamp (Haryana Amendment) Act, 2018: ₹500 on a memorandum filed with the articles, and ₹1,000 or ₹2,000 on the articles depending on whether authorised capital exceeds ₹1 lakh. The MCA's published e-stamp table still shows Haryana's pre-2018 rates, so the amount on the SPICe+ fee screen is checked before payment. Because the duty does not rise with capital, a larger authorised capital adds no stamp duty in Haryana, although MCA filing fees rise above ₹15 lakh.
Which Haryana registrations follow incorporation?
Haryana does not levy professional tax. Under the Haryana Shops and Commercial Establishments Act, 1958, as amended in 2025, an establishment with 20 or more workers registers online, and a smaller one files an online intimation, within one month of starting business.
GST registration follows once turnover crosses the threshold or a compulsory category under section 24 of the CGST Act applies (GST registration in Gurugram); EPF (20 or more employees) and ESIC (10 or more) are applied for through SPICe+.
How is the company incorporated?
Through the MCA's SPICe+ form (INC-32) with the electronic memorandum and articles (INC-33, INC-34) and AGILE-PRO-S (INC-35), which together reserve the name, allot DINs and apply for PAN, TAN, EPFO, ESIC, optional GST and a bank account. Each director gives PAN, Aadhaar or passport, a photograph, address proof and a Class 3 digital signature; foreign subscribers give apostilled documents and, for a company, the parent's board resolution. After incorporation the board appoints the first auditor within 30 days (section 139(6)) and files INC-20A within 180 days (section 10A). An LLP is registered through FiLLiP instead.
What Gurugram Founders Usually Ask
Indian subsidiaries of multinationals
Many foreign companies place the registered office of their Indian subsidiary in Gurugram. The foreign parent subscribes through a board resolution, its documents are apostilled, at least one director must have stayed in India for 182 days in the financial year, and FC-GPR follows the first allotment.
Consumer-internet startups
Founders building consumer platforms usually incorporate a private limited company with an ESOP-ready authorised capital and articles, so that early hires and investors can be brought in without amending the constitution.
Co-working registered offices
Many Gurugram companies use a co-working address as the registered office. The co-working agreement and a utility bill for the premises are accepted, provided the company can actually receive post there.

Frequently Asked Questions
How long does company registration take in Gurugram?
Usually 3–5 working days once the directors' documents and digital signatures are ready. The MCA's Central Registration Centre processes the SPICe+ filing; delays mostly come from name objections or address proofs that do not match, which we check before filing.
What government fees and stamp duty apply to a Gurugram company?
The MCA filing fee is nil for authorised capital up to ₹15 lakh, and name reservation through SPICe+ Part A costs ₹1,000. Haryana stamp duty is ₹500 on the memorandum and ₹1,000 on the articles for authorised capital up to ₹1 lakh (₹2,000 above that), under the Indian Stamp Act as amended for Haryana in 2018; the MCA portal computes it in the SPICe+ filing.
Which ROC handles a company registered in Gurugram?
The Registrar of Companies, Haryana, sitting at Chandigarh, which has covered the whole of Haryana since the MCA's 2026 reorganisation of ROC offices. It is a different office from the Registrar of Companies, Chandigarh, which covers Punjab and the Union territory. Nobody needs to visit either office.
Which Haryana registrations follow incorporation?
There is no professional tax in Haryana. Under the Haryana Shops and Commercial Establishments Act, 1958 as amended in 2025, an office registers (20 or more workers) or files an intimation (fewer) online within one month of starting business; GST registration follows if turnover or a compulsory category requires it.
Can a home or co-working address in Gurugram be the registered office?
Yes, with a utility bill for the premises not older than two months and the owner's no-objection letter or the rent, lease or co-working agreement; the address must be able to receive post from the date of incorporation (section 12 of the Companies Act, 2013).
Is a Gurugram company still registered with the Delhi ROC?
No. Since 16 February 2026 the whole of Haryana, including Gurugram, comes under the Registrar of Companies, Haryana, sitting at Chandigarh. Existing companies' later filings go to that office; the filing process on the MCA portal is unchanged.
Can a Gurugram business keep a Delhi registered office to stay with a Delhi ROC?
Only if its registered office is genuinely in Delhi. The ROC follows the registered office, which must be able to receive and acknowledge communications; an address chosen only to change the ROC does not meet that test.
Do you have an office in Gurugram?
No. We serve Gurugram clients from our office at Spencer Plaza, Anna Salai, Chennai, through video consultations, secure document sharing and digitally signed filings and reports.
