Startup Valuation in Gurugram
Many Gurugram startups reach later rounds with several classes of preference shares, so a valuation here is as much about allocating value between classes as about the headline number. The registered valuer's report under section 62(1)(c) and Rule 13 supports each new allotment, and a Rule 21 certificate covers foreign investors; CA V. Viswanathan prepares both for Gurugram founders and CFOs from Chennai.
Haryana's recognised startups numbered 8,222 at the end of 2024 (Lok Sabha, 11 February 2025), and the State Startup Policy 2022 helps the earliest of them with seed grants and SGST reimbursement. By the later rounds Gurugram companies raise, the questions that matter are share classes, preferences and secondary liquidity.

Which valuation does a startup need?
A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. What does a liquidation preference do to a Gurugram valuation?
Illustration (assumed figures)
A Series C investor paid ₹150 crore for 25% of the company with a 1x non-participating preference. On a sale for ₹400 crore, converting would give it 25% × ₹400 crore = ₹100 crore, so it takes its ₹150 crore preference instead and ₹250 crore is left for everyone else. On a sale for ₹800 crore, conversion gives ₹200 crore and the preference no longer matters.
Because the outcome depends on the exit value, ordinary and preference shares are not worth the same per share. The report allocates value across classes, commonly with an option-pricing or scenario approach, and says which.
How does a Gurugram fintech's licence status affect its value?
A fintech that needs an RBI authorisation or registration — a payment aggregator, an NBFC — is valued differently before and after it holds one. Before approval, the projections are weighted for the chance and timing of approval; after it, the conditions attached, such as minimum net worth, decide how much capital the company must keep rather than deploy.
The Gurugram startup context
Down rounds and anti-dilution
When a later round is priced below an earlier one, anti-dilution clauses adjust the conversion ratio of earlier preference shares. The fully diluted share count used in the valuation reflects the adjusted ratios, and for a foreign investor the adjusted conversion must still respect the price fixed upfront under FEMA.
Secondary transactions
Employee liquidity programmes and secondary sales between investors need a fair value for the transfer, under FEMA Rule 21 where a non-resident is a party.
Employees with options in a foreign parent
Engineers who join a Gurugram startup from a multinational often hold options in the former employer's foreign parent. Those holdings sit outside the startup's cap table, but founders who keep foreign shares while raising money should check their own reporting under the overseas investment rules.

Frequently Asked Questions
Is angel tax still applicable in 2026?
No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.
Does a foreign investor need a separate valuation?
Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.
Which startup policy applies to a Gurugram startup?
Haryana's State Startup Policy 2022 offers seed grants of up to ₹10 lakh and reimbursement of 50% of net SGST for seven years.
How many DPIIT-recognised startups are there in Haryana?
Haryana had 8,222 DPIIT-recognised startups as on 31 December 2024 (Lok Sabha answer of 11 February 2025).
Does a Gurugram startup need a new valuation for every ESOP grant?
Not for each grant. The share value behind grants is usually refreshed at each priced round and at least once a year, or sooner if something material changes; each grant date still has its own option value, measured under Ind AS 102 where the company follows Ind AS.
