IBBI Registered Valuer in Gurugram

Gurugram, Haryana+91 9176044244

Many Gurugram valuations involve a foreign shareholder: a multinational adding capital to its Indian subsidiary, shares moving between group companies, or cash going back to the parent. Each needs a fair value that satisfies the Companies Act and FEMA at once. CA V. Viswanathan, IBBI Registered Valuer (IBBI/RV/03/2019/12333) and chartered accountant, signs both reports for Gurugram companies from Chennai; their schemes go before the Chandigarh Bench of the NCLT.

Subsidiaries in Gurugram usually earn a steady cost-plus return from their parents, which makes their earnings easy to project and easy to misread: capitalising a transfer-pricing margin as if it were a market return can produce a number that neither the tax officer nor the parent's auditors accept. The report says how the intra-group pricing was treated.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

What price limits apply when a Gurugram subsidiary's shares move within the group?

FEMA sets a floor when a resident sells to a non-resident and a ceiling when a non-resident sells to a resident. If the foreign parent sells shares of its Gurugram subsidiary to an Indian group company, the price cannot exceed fair value under Rule 21; if an Indian group company sells to the parent, it cannot be lower.

Illustration (assumed figures)

Fair value ₹950 per share. The parent may sell to the Indian holding company at ₹950 or less, but not at ₹1,000. Income tax runs separately: a buyer who receives shares for less than their Rule 57 value can be taxed on the difference, so both values are compared before the price is agreed.

When does a Gurugram subsidiary need a valuation to reduce its capital?

A subsidiary returning surplus capital to its parent can reduce share capital under section 66 of the Companies Act, 2013, which needs a special resolution and confirmation by the NCLT — for a Gurugram company, the Chandigarh Bench. The amount paid per share is supported by a fair value, the creditors' position is set out for the tribunal, and the payment to the parent is remitted through the authorised dealer bank.

Valuations for Gurugram companies

Multinational subsidiaries

Gurugram valuations frequently concern subsidiaries of foreign groups: fair value for fresh capital, for intra-group share transfers and for buy-backs. FEMA pricing and transfer pricing usually apply alongside the Companies Act.

Consumer-internet companies

Consumer platforms are valued on cohorts, contribution margins and comparable transactions, and later-stage companies with several share classes need value allocated across preference and equity shares.

Buy-backs that return cash to the parent

A buy-back by a foreign-owned Gurugram company is generally treated as a transfer from a non-resident to a resident, so the price should not exceed fair value under FEMA, and the section 68 limits apply. From 1 April 2026 the proceeds are taxed as capital gains rather than as a dividend, and a parent holding more than 10% counts as a promoter and bears additional tax, subject to any relief under the tax treaty.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Gurugram?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Gurugram?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Gurugram companies?

The Chandigarh Bench of the National Company Law Tribunal, which covers Haryana.

Where does a Gurugram company file its share-issue forms?

With the Registrar of Companies, Haryana (at Chandigarh), online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Does the parent's own group valuation satisfy Indian law for a Gurugram infusion?

Not by itself. A group impairment or internal valuation is prepared for a different purpose and under different standards. The Indian issue needs a Rule 21 certificate from a chartered accountant, merchant banker or cost accountant, and a registered valuer's report where the Companies Act requires one; the group's numbers are a useful cross-check.
