Company Registration in Hyderabad

Incorporating in Hyderabad is an online process: the SPICe+ form goes to the MCA's Central Registration Centre, which usually approves a complete application in three to five working days, after which the Registrar of Companies, Hyderabad holds the company's records. No MCA fee is payable for authorised capital up to ₹15 lakh; Telangana stamp duty on the memorandum and articles is collected in the same filing. We set up companies, LLPs and OPCs for Hyderabad founders and foreign groups from Chennai.

A company with its registered office in Hyderabad comes under the Registrar of Companies, Hyderabad, which covers Telangana; the incorporation itself is processed centrally by the MCA's Central Registration Centre. The 2026 reorganisation of ROC offices did not change Telangana's jurisdiction.

Which Telangana registrations follow incorporation?

Under the Telangana Tax on Professions, Trades, Callings and Employments Act, 1987, a company with turnover of ₹10 lakh or more pays ₹2,500 a year, and as an employer deducts professional tax from salaries: nothing up to ₹15,000 a month, ₹150 a month from ₹15,001 to ₹20,000, and ₹200 a month above that. Under the Telangana Shops and Establishments Act, 1988, the establishment sends its statement for registration to the Inspector within 30 days of starting work (section 3).

GST registration follows once turnover crosses the threshold or a compulsory category under section 24 of the CGST Act applies (GST registration in Hyderabad); EPF (20 or more employees) and ESIC (10 or more) are applied for through SPICe+.

How is the company incorporated?

Through the MCA's SPICe+ form (INC-32) with the electronic memorandum and articles (INC-33, INC-34) and AGILE-PRO-S (INC-35), which together reserve the name, allot DINs and apply for PAN, TAN, EPFO, ESIC, optional GST and a bank account. Each director gives PAN, Aadhaar or passport, a photograph, address proof and a Class 3 digital signature; foreign subscribers give apostilled documents and, for a company, the parent's board resolution. After incorporation the board appoints the first auditor within 30 days (section 139(6)) and files INC-20A within 180 days (section 10A). An LLP is registered through FiLLiP instead.

What Hyderabad Founders Usually Ask

Subsidiaries of foreign technology and pharma companies

Many Hyderabad incorporations are Indian subsidiaries of foreign groups setting up capability centres or research units. The foreign parent subscribes to the memorandum, the first share capital comes through banking channels, and Form FC-GPR is filed within 30 days of the first allotment.

Life-sciences startups

Drug-discovery and medical-device startups usually incorporate as private limited companies from the start, because grants, investors and licences are easier to hold in a company. Objects in the memorandum should cover research, manufacturing and licensing if those are planned.

Research collaborations with universities

Startups formed around research from Hyderabad's universities and institutes incorporate early, so that the licence for the technology, and any equity the institution takes, sit in the company rather than with the founders personally.
