IBBI Registered Valuer in Hyderabad

Hyderabad, Telangana+91 9176044244

In Hyderabad a registered valuer is most often called in when a life-sciences company or a technology startup allots shares to investors, when a foreign parent adds capital to its Indian subsidiary, or when a group reorganises before the Hyderabad Bench of the NCLT. Section 62(1)(c) of the Companies Act, 2013 and Rule 13 require a registered valuer's report behind the price of a preferential allotment. CA V. Viswanathan (IBBI/RV/03/2019/12333) signs it, and the FEMA certificate where a non-resident invests, for Hyderabad clients from Chennai.

Much of the value in Hyderabad's research companies still lies ahead: a molecule in trials, a device awaiting approval, a platform licensed to one partner. Discounting the management plan as if it were certain would overstate such a company, and valuing today's earnings would understate it, so the method has to price the risk at each stage.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

A worked example: valuing a programme still in trials

Illustration (assumed figures)

A programme is worth ₹200 crore in present value if it is approved, and the assessed chance of approval from its current stage is 20%. It contributes ₹40 crore; deducting the ₹12 crore of development cost still to be spent leaves ₹28 crore. Each programme is treated this way, and the total, plus cash and less debt, gives the equity value.

The report names the source of every probability used and shows how the value moves if it is wrong, which is what investors and auditors test first.

Can scientists receive shares for their patents or know-how?

Yes. If they are directors or employees, as sweat equity under section 54 of the Companies Act, 2013; otherwise as a preferential allotment for consideration other than cash under Rule 13. For sweat equity, Rule 8 of the Share Capital Rules requires a registered valuer to value both the shares and the intellectual property or know-how being contributed, and the board records the basis. A company may issue sweat equity up to 15% of its paid-up capital or ₹5 crore in a year, whichever is higher, within an overall cap of 25%, raised to 50% for a startup in its first ten years; the shares are locked in for three years.

Valuations for Hyderabad companies

Pharma and life-sciences companies

Valuing a pharma or biotech company means valuing a pipeline: risk-adjusted cash flows for each molecule or device, probability of regulatory approval at each stage, and the value of licences and patents. Our reports show those probabilities explicitly.

Capability-centre subsidiaries

Foreign-owned capability centres in Hyderabad need fair values when the parent adds capital or the group reorganises, which brings in FEMA pricing and, usually, transfer pricing.

Research-stage companies

Hyderabad biotech and research companies often have little revenue but valuable licences, data and grants. We value them on risk-adjusted cash flows for each programme, cross-checked against the cost already invested and recent transactions in similar assets.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Hyderabad?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Hyderabad?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Hyderabad companies?

The Hyderabad Bench of the National Company Law Tribunal.

Where does a Hyderabad company file its share-issue forms?

With the Registrar of Companies, Hyderabad (Telangana), online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Our Hyderabad subsidiary's parent adds capital every quarter. Does each tranche need a new valuation?

Each fresh issue must be priced at not less than fair value at its own date (a rights issue follows Rule 7 instead), so each tranche needs a current certificate. Where tranches are close together and nothing material has changed, the earlier valuation can be updated with a short bring-down letter rather than redone.

Do you have an office in Hyderabad?

No. We serve Hyderabad clients from our office at Spencer Plaza, Anna Salai, Chennai, through video consultations, secure document sharing and digitally signed filings and reports.
