Startup Valuation in Hyderabad
Three documents usually follow a Hyderabad health-tech or deep-tech round: the registered valuer's report that section 62(1)(c) and Rule 13 require behind the issue price, a FEMA Rule 21 certificate if any investor is abroad, and option values once the ESOP pool is granted. CA V. Viswanathan prepares them for founders across the city's incubators and research parks, from Chennai, in step with the round's legal paperwork.
The Lok Sabha reply of 11 February 2025 put Telangana's recognised startups at 8,243 at the end of 2024. The state's innovation policy provides for a fund-of-funds and the T-Seed fund, so a Hyderabad startup's first priced round often already has a state fund, a grant or an incubator on its cap table.

Which valuation does a startup need?
A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. How is a tranche-based Hyderabad round priced?
Health-tech and deep-tech investors often release money in tranches tied to milestones. If every tranche carries the same per-share price, the report should support that price at the first allotment, and the board should confirm it still holds when later tranches are allotted.
Illustration (assumed figures)
₹3 crore in two tranches of ₹1.5 crore at ₹500 per share means 30,000 shares at each allotment. Rule 13 requires a preferential allotment to be completed within twelve months of the special resolution, so a second tranche that slips beyond that needs a fresh resolution and, in practice, a fresh valuation.
How should a Hyderabad startup set up ESOPs for its research team?
Rule 12 of the Share Capital Rules leaves an unlisted company free to set the exercise price, with a minimum vesting period of one year. The accounting cost is measured at grant date under Ind AS 102 where it applies; the employee's tax on exercise uses a value from a Category I merchant banker; and employees of an eligible startup can defer that tax for up to 60 months from the end of the tax year of allotment (section 289(3) of the Income-tax Act, 2025). Planning the pool alongside the round avoids repricing it later.
The Hyderabad startup context
Deep-tech and health-tech startups
Hyderabad has a strong base of deep-tech and health-tech startups whose value lies in technology and regulatory milestones rather than current revenue, so milestone-based and venture capital methods carry more weight than multiples.
Incubator-backed companies
Startups coming out of incubators often raise their first priced round after grants. Grant terms and any equity held by the incubator need to be reflected in the cap table used for the valuation.
State-backed funds on the cap table
Where a state-backed fund invests in a Hyderabad startup, the fund's instrument, its conversion terms and any special rights it carries feed directly into the cap table behind the valuation, so the term sheet is read before the numbers.

Frequently Asked Questions
Is angel tax still applicable in 2026?
No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.
Does a foreign investor need a separate valuation?
Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.
Which startup policy applies to a Hyderabad startup?
Telangana's innovation policy includes a fund-of-funds and the T-Seed fund for early-stage startups.
How many DPIIT-recognised startups are there in Telangana?
Telangana had 8,243 DPIIT-recognised startups as on 31 December 2024 (Lok Sabha answer of 11 February 2025).
Does money from a state fund count as a preferential allotment?
If the fund takes shares or convertible instruments, yes: the issue is made to a selected investor and needs the registered valuer's report under Rule 13 like any other round. A grant that carries no equity is not an allotment; it appears in the projections as funding.
