Company Registration in Kolkata
Kolkata incorporations run through SPICe+ like everywhere else, with one local twist: the company's district decides whether its registrar is Kolkata-I, for the Kolkata district, or Kolkata-II, for the rest of West Bengal. A complete application with digital signatures is usually approved within three to five working days, MCA fees are nil up to ₹15 lakh of authorised capital, and the West Bengal stamp duty is small and paid with the form. We incorporate for Kolkata founders and family groups from Chennai.
A company with its registered office in the Kolkata district comes under the Registrar of Companies, Kolkata-I; registered offices elsewhere in West Bengal, including Salt Lake and New Town outside the Kolkata district, come under Kolkata-II (MCA notification S.O. 4850(E) of 23 October 2025, in force from 16 February 2026). The incorporation itself is processed centrally by the MCA's Central Registration Centre.
What does incorporation cost in government fees and West Bengal stamp duty?
| Item | Amount | Law |
|---|---|---|
| Name reservation (SPICe+ Part A) | ₹1,000 | Companies (Registration Offices and Fees) Rules, 2014 |
| SPICe+ incorporation fee | Nil up to ₹15 lakh of authorised capital | Companies (Registration Offices and Fees) Rules, 2014 |
| Stamp duty on the memorandum and articles | Computed by the MCA portal; the MCA e-stamp schedule lists ₹60 on the memorandum and ₹300 on the articles | Indian Stamp Act, 1899 as applicable in West Bengal |
What will West Bengal stamp duty come to?
| Authorised capital | Memorandum | Articles | Total |
|---|---|---|---|
| ₹10 lakh | ₹60 | ₹300 | ₹360 |
| ₹1 crore | ₹60 | ₹300 | ₹360 |
The MCA schedule lists flat West Bengal amounts of ₹60 and ₹300. Without the state schedule to check them against, we treat the SPICe+ payment screen as decisive. Either way the duty is a minor item, and for a large company the MCA's own fee above ₹15 lakh of capital costs far more.
Which West Bengal registrations follow incorporation?
Under the West Bengal State Tax on Professions, Trades, Callings and Employments Act, 1979, a company pays ₹2,500 a year. The salary slabs were revised from 1 October 2026: nothing is deducted up to ₹20,000 a month, rising in steps to ₹208 a month above ₹1 lakh. Under the West Bengal Shops and Establishments Act, 1963, a new establishment applies for registration within the period the rules prescribe and renews it every three years.
GST registration follows once turnover crosses the threshold or a compulsory category under section 24 of the CGST Act applies (GST registration in Kolkata); EPF (20 or more employees) and ESIC (10 or more) are applied for through SPICe+.
How is the company incorporated?
Through the MCA's SPICe+ form (INC-32) with the electronic memorandum and articles (INC-33, INC-34) and AGILE-PRO-S (INC-35), which together reserve the name, allot DINs and apply for PAN, TAN, EPFO, ESIC, optional GST and a bank account. Each director gives PAN, Aadhaar or passport, a photograph, address proof and a Class 3 digital signature; foreign subscribers give apostilled documents and, for a company, the parent's board resolution. After incorporation the board appoints the first auditor within 30 days (section 139(6)) and files INC-20A within 180 days (section 10A). An LLP is registered through FiLLiP instead.
What Kolkata Founders Usually Ask
Family groups and investment companies
Kolkata has many family-held investment and holding companies. New companies in these groups are incorporated through SPICe+ like any other, and shareholdings moved between group companies later need fair values under the Companies Act and the Income-tax Rules.
NBFCs
A company intending to carry on lending or investment business needs RBI registration as an NBFC in addition to incorporation, and its objects clause must match the activity RBI will register.
Technology startups in Salt Lake and New Town
Technology founders incorporate a private limited company with ESOP-ready articles from the start, so the first priced round is straightforward.
