IBBI Registered Valuer in Kolkata

Kolkata valuations are often group exercises: two family companies merging, an investment company being demerged between branches of a family, or an NBFC bringing in a new shareholder. Schemes of that kind need a registered valuer to sign the share-exchange or entitlement ratio before they reach the Kolkata Bench of the NCLT, just as a preferential allotment needs one behind its price. CA V. Viswanathan prepares these reports for Kolkata companies from Chennai.

Many Kolkata groups hold layers of investment companies built up over decades, with cross-holdings between them and listed shares at the bottom. Valuing one of them means valuing what it owns — including shares of its sister companies — and making sure the same value is not counted twice up the chain.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

How is a Kolkata investment company valued?

Illustration (assumed figures)

Book net worth ₹60 crore. Listed shares carried at cost are worth ₹25 crore more at market prices, so adjusted net assets are ₹85 crore; over 50 lakh shares that is ₹170 per share before any discount.

If the purpose permits a discount — for a minority holding, or for the time it would take to realise the investments — the report explains its basis and size. For an income-tax value under Rule 57 there is no discount: the formula takes shares and securities at fair market value and immovable property at stamp-duty value.

How are cross-holdings handled in a Kolkata group valuation?

Where Company A owns shares in Company B and B owns shares in A, valuing each by adding its investment at the other's value creates a loop. The circularity is resolved by valuing the operating assets of each company first and then allocating group value through the cross-holdings simultaneously, so that the sum of the parts equals the whole.

Valuations for Kolkata companies

Restructurings in old family groups

Kolkata family groups that restructure after decades usually need several valuations at once: a share-exchange ratio for each scheme and income-tax values for shares moving between relatives and companies. Preparing them together, on one valuation date, keeps the numbers consistent across the documents the tribunal and the tax officer will compare.

Demergers between family branches

When a family group splits, a demerger allocates businesses and investments between resulting companies, and the share entitlement ratio decides what each branch's shareholders receive. The valuation supports both the split of assets and the ratio, and the scheme is drafted so that the tax-neutrality conditions for a demerger are met.

Tea, jute and commodity businesses

Commodity businesses have earnings that swing with prices and seasons. We normalise earnings over a cycle, and value estates and land through registered land valuers where they form a large part of the company.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Kolkata?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Kolkata?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Kolkata companies?

The Kolkata Bench of the National Company Law Tribunal.

Where does a Kolkata company file its share-issue forms?

With the Registrar of Companies, Kolkata-I, online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Does a Kolkata NBFC need RBI approval before its shares change hands?

A change in control, or a change in shareholding that crosses the thresholds in RBI's directions, needs RBI's prior approval, so the valuation and allotment timetable is built around that approval rather than ahead of it.
