Startup Valuation in Kolkata
Kolkata founders often raise their first money from people they know — family, angels from business families, a local fund — and the law treats that money like any other round: shares issued to selected investors need a registered valuer's report on the price (section 62(1)(c) and Rule 13), and a non-resident's shares need a FEMA Rule 21 certificate. CA V. Viswanathan prepares these for Kolkata startups from Chennai, starting from the founders' model and cap table.
West Bengal's tally of recognised startups stood at 5,165 at the end of 2024, per the Lok Sabha reply of 11 February 2025. We could not confirm a current state startup policy — the 2016 policy ran until the end of 2021 — so the central Startup India framework is the reference point for recognition and benefits.

Which valuation does a startup need?
A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. How does a family member's investment change a Kolkata startup's cap table?
Illustration (assumed figures)
A founder's uncle invests ₹50 lakh at a pre-money value of ₹4 crore. The post-money value is ₹4.5 crore and he holds 11.1%. The allotment is a preferential issue like any other, so it needs the registered valuer's report and a special resolution, even though everyone involved is family.
How does the scorecard method work for a Kolkata seed round?
The scorecard method starts from the typical pre-money value of comparable seed-stage companies and adjusts it for how this company compares on team, market size, product, competition, sales channels and need for further funding. Each factor carries a weight and a score above or below average, and the weighted result multiplies the comparable value. The report lists the comparables and the scores, so founder and investor can see exactly where they disagree.
The Kolkata startup context
Services firms turning into product companies
Some Kolkata startups begin as software services firms and build a product on the side. Services revenue funds the product but is valued differently: the report values the services business on its earnings and the product on its own prospects, rather than applying one multiple to the whole.
Consumer and food brands
Consumer brands are valued on revenue, margins and comparable transactions rather than discounted cash flow alone.
Founders' loans converted into shares
Founders and family often fund a Kolkata startup's first year with loans. Converting them into equity is usually a preferential allotment needing the registered valuer's report, unless the loan carried a conversion option approved by special resolution beforehand (section 62(3)); a conversion price below fair value can also raise income-tax questions for the person receiving the shares.

Frequently Asked Questions
Is angel tax still applicable in 2026?
No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.
Does a foreign investor need a separate valuation?
Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.
How many DPIIT-recognised startups are there in West Bengal?
West Bengal had 5,165 DPIIT-recognised startups as on 31 December 2024 (Lok Sabha answer of 11 February 2025).
Can a Kolkata startup issue shares to a family member below the round price?
The price for every allottee has to rest on the registered valuer's report, so a family discount needs a basis in that report; and shares received below their fair market value can be taxed in the recipient's hands.
