Company Registration in Pune
For a Pune company the SPICe+ filing is the whole incorporation: it reserves the name, allots director identification numbers and applies for PAN, TAN and other registrations, and it is usually approved in three to five working days. The Registrar of Companies, Pune — covering Pune and seven nearby districts — keeps the records afterwards. Authorised capital up to ₹15 lakh attracts no MCA fee; Maharashtra stamp duty is paid with the filing. We incorporate companies, LLPs and foreign subsidiaries for Pune from Chennai.
A company with its registered office in Pune comes under the Registrar of Companies, Pune, whose jurisdiction covers the districts of Pune, Ahmednagar, Kolhapur, Solapur, Satara, Sangli, Ratnagiri and Sindhudurg (MCA notification S.O. 698(E) of 10 February 2026); the incorporation itself is processed centrally by the MCA's Central Registration Centre.

| SPICe+ incorporation fee | Nil up to ₹15 lakh of authorised capital | Companies (Registration Offices and Fees) Rules, 2014 |

What will Maharashtra stamp duty come to for a Pune company?
| Authorised capital | Memorandum | Articles (0.3%) | Total |
|---|---|---|---|
| ₹10 lakh | ₹1,000 | ₹3,000 | ₹4,000 |
| ₹1 crore | ₹1,000 | ₹30,000 | ₹31,000 |
Rates under the Maharashtra Stamp Act, 1958: ₹1,000 on the memorandum and 0.3% of share capital on the articles, capped at ₹1 crore. The MCA's published table still shows older Maharashtra rates, so the figure on the SPICe+ fee screen is checked before payment.
Which Maharashtra registrations follow incorporation?
Under the Maharashtra State Tax on Professions, Trades, Callings and Employments Act, 1975, the company takes an enrolment certificate (PTEC) and pays ₹2,500 a year; directors other than government nominees are liable for the same amount. Once it pays salaries it also needs an employer registration certificate (PTRC) and deducts the tax: a man earning up to ₹7,500 a month pays nothing, ₹175 a month between ₹7,501 and ₹10,000, and ₹200 a month above that (₹300 in February); a woman pays nothing up to ₹25,000 a month. Under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, an office with fewer than ten workers files an online intimation and one with ten or more applies for registration, within 60 days of starting.
GST registration follows once turnover crosses the threshold or a compulsory category under section 24 of the CGST Act applies (GST registration in Pune); EPF (20 or more employees) and ESIC (10 or more) are applied for through SPICe+.
How is the company incorporated?
Through the MCA's SPICe+ form (INC-32) with the electronic memorandum and articles (INC-33, INC-34) and AGILE-PRO-S (INC-35), which together reserve the name, allot DINs and apply for PAN, TAN, EPFO, ESIC, optional GST and a bank account. Each director gives PAN, Aadhaar or passport, a photograph, address proof and a Class 3 digital signature; foreign subscribers give apostilled documents and, for a company, the parent's board resolution. After incorporation the board appoints the first auditor within 30 days (section 139(6)) and files INC-20A within 180 days (section 10A). An LLP is registered through FiLLiP instead.
What Pune Founders Usually Ask
Engineering and auto-component companies
Manufacturers incorporating in Pune usually choose a private limited company so that MIDC land, incentives and bank funding can be held in the company. Foreign technology partners often take equity, which brings in FEMA pricing at incorporation.
Software-product startups
Product startups incorporate a private limited company with articles that allow ESOPs and investor rights, so that the first priced round does not require a rewrite of the constitution.
Foreign engineering subsidiaries
German, Japanese and US engineering groups commonly set up Pune subsidiaries; the parent subscribes through a board resolution and apostilled documents, and FC-GPR is filed within 30 days of the first allotment.
