Startup Valuation in Pune

Pune, Maharashtra+91 9176044244

A Pune startup's valuation report supports three things: the price of each allotment to investors (a registered valuer's report under section 62(1)(c) and Rule 13), shares issued to a non-resident (a FEMA Rule 21 certificate), and ESOP grants. CA V. Viswanathan prepares them for Pune founders building SaaS products, mobility hardware and industrial software, from Chennai by video consultation.

Many Pune founders come from the city's engineering and software companies, and their first rounds fund product development well before revenue. Maharashtra, which had more recognised startups than any other state when the Lok Sabha was given the figures in December 2024, aims under its 2025 policy to support 50,000 start-ups over five years.

Which valuation does a startup need?

A priced round from Indian investors needs a registered valuer's report (section 62(1)(c) and Rule 13); a non-resident investor needs a FEMA Rule 21 certificate; ESOP grants need an Ind AS 102 option value, and the employee's tax on exercise needs a Category I merchant banker's value; a share swap with a foreign holding company needs a merchant banker. How does the venture capital method price a Pune startup?

Illustration (assumed figures)

An investor expects the company could be worth ₹300 crore at exit in about six years and wants ten times its money on a successful outcome. The post-money value today is ₹300 crore ÷ 10 = ₹30 crore; with a ₹5 crore round, the pre-money value is ₹25 crore and the investor takes 16.7%.

The target multiple carries the risk: a company with a working product and paying customers justifies a lower multiple, and so a higher pre-money value. The report shows the exit and multiple assumptions so they can be challenged.

When should a Pune startup refresh its valuation between rounds?

When it grants a large batch of ESOPs, takes a strategic investor at a different price, converts notes, or signs a contract that changes its outlook. Between those events, a valuation more than a year old is a weak basis for option pricing or a secondary sale.

The Pune startup context

SaaS and product companies

Pune's SaaS companies are typically valued on recurring revenue, net retention and growth, cross-checked against funded and listed comparables.

Mobility and EV startups

Mobility and electric-vehicle startups carry capital expenditure and regulatory milestones; projections behind the valuation reflect both.

Engineering-led products

Pune startups often build engineering-heavy products — mobility, industrial software, embedded systems — where development costs come well before revenue, so technical milestones and pilot customers carry real weight in the valuation.

Frequently Asked Questions

Is angel tax still applicable in 2026?

No. Section 56(2)(viib) of the Income-tax Act, 1961 stopped applying from assessment year 2025-26, so share premium above fair value is no longer taxed in the company's hands. A person who receives shares below fair market value can still be taxed (section 92(2)(m) of the Income-tax Act, 2025), with unquoted equity valued under Rule 57 of the Income-tax Rules, 2026.

Does a foreign investor need a separate valuation?

Yes: a fair-value certificate under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019 from a chartered accountant, merchant banker or practising cost accountant. CA V. Viswanathan can issue it together with the Companies Act report on the same valuation date.

Which startup policy applies to a Pune startup?

Maharashtra's Startup, Entrepreneurship and Innovation Policy 2025 aims to support 50,000 start-ups over five years.

How many DPIIT-recognised startups are there in Maharashtra?

Maharashtra had 27,014 DPIIT-recognised startups as at 31 October 2024 (Lok Sabha answer of 17 December 2024), the highest of any state in that answer.

Is a Pune startup's pre-money value the same as the registered valuer's value?

Not necessarily. Pre-money is negotiated; the registered valuer's report supports the issue price and has to stand on its own reasoning. In a genuine arm's-length round the two usually end up close, and the report explains any gap.
