IBBI Registered Valuer in Pune

Pune, Maharashtra+91 9176044244

Pune's manufacturers and software companies call in a registered valuer for share allotments to investors or partners, for the exit of a joint venture partner, and for group reorganisations before the Mumbai Bench of the NCLT. Section 62(1)(c) and Rule 13 require the valuer's report behind a preferential allotment, and FEMA Rule 21 sets the price whenever a foreign partner buys or sells; both are prepared for Pune companies from Chennai by CA V. Viswanathan, IBBI Registered Valuer.

Engineering businesses in Pune are often valued at a turning point — a new platform win with an automaker, a capacity expansion, a partner's exit — when last year's accounts say little about next year's earnings. The valuation leans on the order book and the supply contracts, and tests how firm they really are.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

How is an order book treated in a Pune engineering valuation?

A nomination for a vehicle programme is not a purchase order: volumes depend on how well the vehicle sells, and prices are often revised each year. The projections separate firm orders, nominated programmes and pipeline, apply realistic volume and price assumptions to each, and show the value if a programme underperforms.

What happens when a Pune JV partner exits at a pre-agreed formula?

Illustration (assumed figures)

The JV agreement gives the foreign partner a put option at a formula that works out to ₹460 per share. At exit, fair value under Rule 21 is ₹410. A non-resident selling to a resident cannot receive more than fair value, so the transfer can happen at ₹410, not ₹460. A well-drafted agreement anticipates this instead of leaving it to the exit.

Valuations for Pune companies

Capacity expansions

A Pune manufacturer valued in the middle of an expansion carries capital spent on capacity that is not yet earning. The report separates the existing business from the expansion and values the expansion on its own ramp-up, so that the new plant is neither ignored nor counted as if it were already running.

Foreign-owned subsidiaries

Engineering subsidiaries of foreign groups need fair values for capital infusions, buy-backs and group restructurings under FEMA and the Companies Act.

Private equity in family-owned component makers

Second-generation component makers in Pune sometimes sell a minority stake to a private equity fund to finance expansion. The fund's investment is a preferential allotment needing the registered valuer's report, and if the fund is foreign, the exit rights in the shareholders' agreement must respect FEMA's bar on assured returns.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Pune?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Pune?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Pune companies?

The Mumbai Bench of the National Company Law Tribunal.

Where does a Pune company file its share-issue forms?

With the Registrar of Companies, Pune, online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

Does a Pune supplier's valuation change if an automaker cancels a programme?

Yes, if that programme was in the projections. A cancellation after the valuation date but before the allotment is a material change, and the report is updated before the board relies on it.
