FEMA Consultant in Noida

Noida, Uttar Pradesh+91 9176044244

Much of the foreign capital in Noida arrives as investment in manufacturing plants and IT-services subsidiaries, and each infusion follows the same FEMA path: Rule 21 pricing, allotment within 60 days, FC-GPR within 30 days of allotment and the FLA return every 15 July. Where an investor or its owners are linked to a country sharing a land border with India, approval comes first. We handle Noida filings from Chennai.

Noida's foreign-owned plants often import machinery from the parent and export finished goods back to it, so they deal with FEMA on both the capital and the trade side: shares for the parent's capital, and import payments and export proceeds routed through the authorised dealer bank within RBI's time limits.

What must be reported when a foreign investor invests?

Shares issued to a non-resident are reported in Form FC-GPR within 30 days of issue; a transfer between a resident and a non-resident in Form FC-TRS within 60 days; a downstream investment in Form DI within 30 days; and every company with foreign investment files the FLA return by 15 July. Equity instruments must be issued within 60 days of receiving the money, or the money refunded within the next 15 days. Step-by-step FC-GPR and FC-TRS filing.

Is approval needed, and how is the price fixed?

Most sectors are open under the automatic route; investment from a country sharing a land border with India needs government approval (Press Note 3 of 2020). Shares are issued at not less than fair value under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, certified by a chartered accountant, merchant banker or cost accountant. More on Rule 21 valuations.

Can a foreign parent contribute machinery instead of cash to a Noida company?

Possibly, but it is not a routine cash issue. Shares issued against capital goods or machinery imported from the parent, other than second-hand equipment, have to meet the conditions FEMA attaches to such non-cash issues — an independent valuation of the machinery, timelines for the issue and reporting — and in sectors under the government route they need approval. Groups often find it simpler to subscribe in cash and import the machinery against that money.

Which forms does a Noida SEZ unit with foreign investment file?

The same FEMA forms as any company — FC-GPR, FLA, Form DI — plus the periodic performance reports the zone's Development Commissioner requires. SEZ status changes customs and GST treatment, not the foreign investment reporting.

Foreign investment in Noida

Foreign-owned manufacturers

Foreign investment in manufacturing is largely under the automatic route; each infusion is priced at fair value and reported in FC-GPR within 30 days of allotment.

Joint ventures

Joint ventures between Indian and foreign partners need the shareholding, pricing and any put or call options checked against the FEMA (Non-debt Instruments) Rules, 2019 before signing.

Investors from neighbouring countries

Electronics supply chains often involve investors from countries sharing a land border with India. Any such investment, direct or through beneficial ownership, needs government approval before the money is received (Press Note 3 of 2020).

Frequently Asked Questions

What is the deadline for Form FC-GPR?

Within 30 days from the date of issue of the shares to the non-resident investor, filed on RBI's FIRMS portal and processed by the company's authorised dealer bank (Regulation 4(1) of the FEMA (Mode of Payment and Reporting of Non-Debt Instruments) Regulations, 2019). The shares themselves must be issued within 60 days of receiving the money, or the money refunded within 15 days after that.

What happens if FC-GPR or FC-TRS is filed late?

A delay of up to three years can usually be regularised by paying a late submission fee through the authorised dealer bank: ₹7,500 plus 0.025% of the amount involved for each year of delay (counted in months), capped at the amount involved, under RBI's A.P. (DIR Series) Circular No. 16 of 30 September 2022. A late FLA return attracts a flat ₹7,500. Longer delays and other contraventions are compounded by RBI on an application.

Where is a FEMA compounding application filed for a Noida company?

The RBI Regional Office with jurisdiction over the registered office. Applications can be filed physically or on RBI's PRAVAAH portal, with a fee of ₹10,000 plus GST.

Can a Noida company receive money from an investor before a Press Note 3 approval is granted?

No. Where approval is required, the investment cannot be received until it is granted; money received first has to be returned, or the contravention compounded.
