IBBI Registered Valuer in Noida

Noida, Uttar Pradesh+91 9176044244

A Noida company usually needs a registered valuer when a foreign partner or investor subscribes to shares, when a manufacturing group restructures, or when promoters bring in a strategic investor for a new line. Section 62(1)(c) and Rule 13 tie a preferential allotment's price to the valuer's report, and schemes are heard by the Allahabad (Prayagraj) Bench of the NCLT; Noida companies get both the report and the scheme valuation from our Chennai office.

Much of Noida's industrial and commercial land is held on long leases from the development authorities rather than owned outright. Treating a leasehold plot as freehold overstates a company's assets, so the lease terms — tenure left, transfer conditions, dues to the authority — are read before any value is put on the land.

When is a registered valuer's report required?

Under section 247 of the Companies Act, 2013 a registered valuer signs every valuation the Act calls for: preferential allotments and private placements (sections 42 and 62(1)(c)), sweat equity (section 54), non-cash transactions with directors (section 192), mergers and arrangements (sections 230–232) and minority buy-outs (section 236). Under the Insolvency and Bankruptcy Code two registered valuers per asset class determine fair value and liquidation value. FEMA pricing for non-residents is certified by a chartered accountant, merchant banker or cost accountant, and share swaps need a merchant banker. See who signs which valuation.

How are asset and cash-flow values combined for a Noida manufacturer?

While a plant is still ramping up, its current earnings understate what it will earn and its asset value is the better guide; once it runs at capacity, cash flows take over. The report weights the two and gives reasons for the weights instead of averaging by habit.

Illustration (assumed figures)

Net asset value ₹140 per share, with plant and land at registered valuers' figures; discounted cash flow ₹180 per share. With the plant at stable output, 40% weight on assets and 60% on cash flows gives 0.4 × 140 + 0.6 × 180 = ₹164 per share.

Can a Noida company's shares be valued for a lender?

Lenders taking a pledge of unlisted shares often ask for a valuation. The Companies Act does not require that report to come from a registered valuer, but lenders frequently prefer one; it is prepared under the same standards, with the lender's purpose and the basis of value stated so it is not reused for an allotment it was not written for.

Valuations for Noida companies

Manufacturing companies

Manufacturing valuations rely on asset values and capacity as much as earnings; the registered valuer for securities works with valuers registered for plant and machinery and for land where the company's value depends on them.

IT services companies

Services companies are valued on earnings and comparable companies, with attention to client concentration and contract terms.

Manufacturing incentives

Manufacturers receiving production-linked or state incentives must reflect them carefully: incentives that depend on future investment or output are risked in the cash flows rather than counted as certain.

Frequently Asked Questions

Do I need a registered valuer for a funding round in Noida?

Usually yes. A private company issuing shares to new investors does so by preferential allotment or private placement, and section 62(1)(c) of the Companies Act, 2013 with Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 requires the price to rest on a registered valuer's report. A rights issue to existing shareholders in proportion to their holdings does not need one.

Is a CA valuation certificate the same as a registered valuer's report?

No. A chartered accountant's certificate is accepted for FEMA pricing under Rule 21 of the FEMA (Non-debt Instruments) Rules, 2019, but Companies Act valuations must be signed by a registered valuer (section 247). CA V. Viswanathan is both, so one engagement can cover a round that needs both reports.

Can a registered valuer in Chennai value a company in Noida?

Yes. IBBI registration under the Companies (Registered Valuers and Valuation) Rules, 2017 is valid across India and is not tied to the state where the company is registered.

Which NCLT bench hears matters for Noida companies?

The Allahabad (Prayagraj) Bench of the National Company Law Tribunal, which covers Uttar Pradesh.

Where does a Noida company file its share-issue forms?

With the Registrar of Companies, Uttar Pradesh-II (at Noida), online on the MCA portal: Form MGT-14 for the special resolution and Form PAS-3 for the allotment.

How long can a Noida company rely on a valuation report for an allotment?

The law sets no shelf life, but the price must reflect value close to the date of issue. A report several months old, or one written before a material change such as a large order or a plant shutdown, is updated before the board relies on it.
